    OBSCURA: TERMS OF SERVICE

    PREAMBLE

    These Terms of Service (“Terms”) govern your access to and use of Obscura (the “Platform”), a privacy-focused copy trading platform that connects exchange accounts via API keys and utilizes zero-knowledge proofs to verify trading activity.

    Please read these Terms carefully. By accessing or using Obscura, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

    1. DEFINITIONS

    "User" / "you" / "your"Any individual or entity accessing or using the Platform, including both Traders and Copiers.
    "Trader"A User who connects exchange accounts to publish verifiable trading proofs and be copied by others.
    "Copier"A User who subscribes to automatically copy the trades of one or more Traders.
    "Exchange"Third-party cryptocurrency exchanges with which Obscura integrates (e.g., Binance, Bybit, OKX).
    "API Keys"Application Programming Interface credentials provided by Exchanges to authorize access to account data and trading functionality.
    "Zero-Knowledge Proof" / "ZK Proof"A cryptographic method that allows one party to prove possession of certain information without revealing the information itself.
    "Copy Trading"The automated mirroring of a Trader's positions to a Copier's Exchange account.
    "Subscription"The recurring fee paid by Users for access to Platform features.
    "Content"All information, data, text, software, graphics, and materials on the Platform.

    2. ELIGIBILITY AND ACCOUNT REGISTRATION

    2.1 Age and Capacity

    By using Obscura, you represent and warrant that:

    • You are at least 18 years old (or the age of majority in your jurisdiction)
    • You have the legal capacity to enter into these Terms
    • You are not located in a jurisdiction where Obscura is prohibited or restricted

    2.2 Account Registration

    • You must provide accurate, current, and complete information during registration
    • You are responsible for maintaining the security of your account credentials
    • You are responsible for all activities that occur under your account
    • You must notify us immediately of any unauthorized account access

    2.3 One Account Per User

    You may not create multiple accounts for the purpose of circumventing fees, restrictions, or trading limits.

    2.4 Verification

    We reserve the right to verify your identity and eligibility. You agree to provide reasonable information for such verification upon request.

    3. PLATFORM OVERVIEW

    Obscura provides a privacy-preserving copy trading infrastructure that enables:

    3.1 For Traders

    • Connect Exchange accounts via API keys
    • Generate zero-knowledge proofs of trading activity without revealing strategy details
    • Publish verified trading credentials to attract Copiers
    • Receive Subscription revenue from Copiers (subject to fee structure)

    3.2 For Copiers

    • Browse verified Traders based on performance metrics
    • Select Traders to copy based on risk preferences
    • Configure risk controls (position size limits, stop-loss, maximum drawdown)
    • Automatically mirror Trader positions in real-time
    • Monitor performance through analytics dashboard

    3.3 Core Functionality Limitations

    • Copy trading execution speed depends on Exchange API latency
    • Not all assets or trading pairs may be supported
    • Certain order types may not be mirrorable
    • We do not guarantee profitability or trade execution

    4. API KEYS AND EXCHANGE CONNECTIONS

    4.1 API Key Provision

    To use Obscura, you must provide API keys from supported Exchanges. You represent and warrant that:

    • You are the authorized owner of the Exchange account
    • You have the right to grant us access as described
    • You will configure API keys with appropriate permissions

    4.2 Permitted Permissions

    Required: Read access, trading access (for Copiers)

    Prohibited: Withdrawal access (MUST be disabled)

    We strictly prohibit API keys with withdrawal permissions. If detected, we will immediately disable the connection and notify you.

    4.3 Our Authority

    By providing API keys, you authorize Obscura to:

    • Access account balances and trading history
    • Place, modify, and cancel orders on your behalf (Copiers only)
    • Monitor positions for copy trading execution
    • Generate proof data from your trading history

    4.4 Security Obligations

    • We encrypt all API keys as described in our Privacy Policy
    • You may revoke access at any time through your Exchange account
    • You are responsible for key rotation and security
    • We are not liable for unauthorized access resulting from your failure to secure credentials

    4.5 Exchange Limitations

    Exchanges may:

    • Rate-limit API calls, affecting copy execution speed
    • Change API specifications without notice
    • Suspend or terminate API access
    • Impose trading restrictions

    We are not responsible for Exchange-imposed limitations or failures.

    5. TRADER RESPONSIBILITIES

    5.1 Verification and Proof Generation

    • Traders agree to allow Obscura to generate ZK proofs from their trading activity
    • Proofs are generated based on actual trading data from connected Exchanges
    • Traders may not manipulate, falsify, or artificially generate trading activity
    • We reserve the right to verify proof accuracy through sampling or audit

    5.2 Representations by Traders

    By publishing proofs and making your trading activity available for copying, you represent that:

    • You are the sole beneficial owner of the trading account
    • Your trading activity is lawful in your jurisdiction
    • You have not engaged in market manipulation, wash trading, or other prohibited practices
    • You will not intentionally take positions designed to harm Copiers

    5.3 No Guarantee of Copier Success

    Traders acknowledge that:

    • Past performance does not guarantee future results
    • Copiers may experience losses even when Traders are profitable
    • We do not endorse or certify Trader skill beyond cryptographic verification

    5.4 Trader Compensation

    Traders may receive Subscription revenue from Copiers as determined by the Platform fee structure. We reserve the right to modify fee splits with notice.

    6. COPIER RESPONSIBILITIES

    6.1 Acknowledgment of Risk

    By using copy trading features, Copiers acknowledge that:

    • All trading involves substantial risk of loss
    • Past Trader performance is not indicative of future results
    • You may lose some or all of your invested capital
    • Copy trading is not "passive income" but active investment exposure

    6.2 Risk Configuration

    • You are responsible for setting appropriate risk controls
    • We provide tools (position limits, stop-loss, drawdown limits) but you must configure them
    • We are not liable for losses resulting from inadequate risk configuration

    6.3 Due Diligence

    Copiers are encouraged to:

    • Research Trader strategies and risk profiles
    • Start with small amounts to test performance
    • Monitor copied positions regularly
    • Diversify across multiple Traders

    6.4 No Advisory Relationship

    Obscura does not provide investment advice. We are a technology platform facilitating copy trading. All investment decisions are yours alone.

    7. ZERO-KNOWLEDGE PROOFS AND ON-CHAIN DATA

    7.1 How ZK Proofs Work

    ZK proofs allow Traders to demonstrate trading competence without revealing:

    • Specific entry and exit prices
    • Position sizes
    • Trading strategies
    • Exchange details

    7.2 What Is Verified

    ZK proofs verify metrics such as:

    • Profitability over time periods
    • Win rate
    • Risk-adjusted returns (Sharpe ratio, max drawdown)
    • Trading consistency

    7.3 Limitations of ZK Proofs

    • Proofs are generated from data you provide; "garbage in, garbage out"
    • Proofs verify historical data, not future performance
    • Technical limitations may affect proof accuracy or generation frequency

    7.4 On-Chain Anchoring

    Proof hashes may be recorded on public blockchains. You acknowledge:

    • Blockchain records are permanent and immutable
    • Hashes may be publicly visible
    • We cannot delete or alter on-chain data
    • Pseudonymity depends on your actions (if you link your identity to a wallet, the proof becomes linkable)

    7.5 No Warranty of Anonymity

    While we design for privacy, we cannot guarantee absolute anonymity. Determined adversaries may deanonymize users through network analysis, exchange data, or other means.

    8. FEES AND SUBSCRIPTIONS

    8.1 Fee Structure

    Obscura charges fees as follows (subject to change with notice):

    8.2 Payment Processing

    • All fees are processed through third-party payment processors
    • We do not store full payment credentials
    • Fees are non-refundable except as required by law
    • Subscription auto-renews unless canceled

    8.3 Fee Changes

    We may modify fees with 30 days' notice. Continued use after fee changes constitutes acceptance.

    8.4 Free Trials and Promotions

    • Free trials may be offered at our discretion
    • Trial terms will be specified at signup
    • You will be charged automatically after trial unless canceled

    8.5 Taxes

    You are responsible for all taxes applicable to your use of the Platform. Fees do not include taxes unless stated.

    9. PROHIBITED ACTIVITIES

    You may not use Obscura to:

    9.1 Market Manipulation

    • Engage in wash trading, spoofing, layering, or other manipulative practices
    • Artificially inflate trading volume or performance metrics
    • Coordinate with others to manipulate Trader rankings

    9.2 Fraud and Deception

    • Provide false information during registration
    • Impersonate any person or entity
    • Misrepresent trading activity or proof data
    • Create fake accounts to boost Trader rankings

    9.3 Security Violations

    • Attempt to bypass security measures
    • Access other users' accounts or data
    • Reverse engineer, decompile, or extract source code
    • Introduce malware, viruses, or harmful code

    9.4 Illegal Activities

    • Use the Platform for money laundering, terrorist financing, or other illegal purposes
    • Violate any applicable laws or regulations
    • Trade in prohibited assets or jurisdictions

    9.5 Abuse of Platform

    • Create multiple accounts to circumvent fees
    • Harass, threaten, or abuse other users
    • Post inappropriate or offensive content
    • Use automated scripts or bots beyond normal API usage

    Violation of prohibited activities may result in immediate account termination, forfeiture of fees, and legal action.

    10. INTELLECTUAL PROPERTY RIGHTS

    10.1 Our IP

    Obscura owns all rights, title, and interest in:

    • The Platform software and code
    • User interface design and branding
    • Proprietary algorithms and ZK proof systems
    • Content created by us (excluding user content)

    10.2 License to Use

    We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose.

    10.3 User Content

    By posting content (profile information, comments, etc.), you grant us a worldwide, royalty-free license to:

    • Display, distribute, and promote your content on the Platform
    • Use for marketing purposes (with attribution where possible)
    • Create derivative works for Platform improvement

    10.4 Feedback

    If you provide suggestions or feedback, you grant us the right to use them without compensation or restriction.

    11. THIRD-PARTY SERVICES AND EXCHANGES

    11.1 Exchange Relationships

    Obscura integrates with third-party Exchanges but is not affiliated with, endorsed by, or partnered with them unless explicitly stated.

    11.2 Exchange Terms

    Your use of Exchanges is governed by their terms of service. We are not responsible for:

    • Exchange downtime, outages, or maintenance
    • Changes to Exchange APIs or functionality
    • Exchange security breaches or hacks
    • Exchange-imposed trading limits or restrictions

    11.3 Third-Party Links

    The Platform may contain links to third-party websites. We are not responsible for their content, privacy practices, or terms.

    11.4 No Agency

    Nothing in these Terms creates an agency, partnership, or joint venture relationship with any Exchange or third party.

    12. RISK DISCLOSURES

    IMPORTANT: PLEASE READ CAREFULLY

    12.1 Trading Risk

    Cryptocurrency trading involves substantial risk. Prices can be volatile. You may lose all invested capital. Past performance does not indicate future results.

    12.2 Copy Trading Risk

    Copy trading adds additional risks:

    • Execution lag: Your trades may execute after the Trader's, at worse prices
    • Slippage: Market movement between Trader execution and your execution
    • Position size mismatch: Your position sizes may differ from Trader's
    • Trader error: The Trader may make poor decisions or change strategy
    • Trader fraud: Despite verification, Traders may engage in risky or manipulative behavior

    12.3 Technical Risk

    • API failures may prevent trade execution
    • Platform downtime may occur
    • Internet connectivity issues may disrupt service
    • Smart contract or ZK proof bugs may affect verification

    12.4 Regulatory Risk

    Cryptocurrency regulations are evolving. Your jurisdiction may restrict or prohibit:

    • Cryptocurrency trading
    • Copy trading services
    • Use of certain Exchanges
    • Cross-border transactions

    12.5 No Insurance

    Funds used on Exchanges are generally not insured. Exchange hacks or failures may result in total loss.

    12.6 Your Responsibility

    You acknowledge and accept all these risks. You are solely responsible for your trading decisions and outcomes.

    13. LIMITATION OF LIABILITY

    13.1 Disclaimer of Warranties

    THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

    • MERCHANTABILITY
    • FITNESS FOR A PARTICULAR PURPOSE
    • NON-INFRINGEMENT
    • ACCURACY OR RELIABILITY
    • UNINTERRUPTED OR ERROR-FREE SERVICE

    13.2 No Liability for Trading Losses

    WE ARE NOT LIABLE FOR ANY TRADING LOSSES, WHETHER DIRECT OR INDIRECT, INCURRED THROUGH USE OF THE PLATFORM.

    13.3 Limitation of Damages

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OBSCURA BE LIABLE FOR:

    • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
    • LOSS OF PROFITS, REVENUE, OR DATA
    • BUSINESS INTERRUPTION
    • UNAUTHORIZED ACCESS TO YOUR ACCOUNTS

    13.4 Cap on Liability

    OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF:

    • THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
    • ONE HUNDRED DOLLARS ($100)

    13.5 Applicability

    Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

    14. INDEMNIFICATION

    You agree to indemnify, defend, and hold harmless Obscura, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

    • Your use of the Platform
    • Your violation of these Terms
    • Your violation of applicable laws or regulations
    • Your API key configuration or misuse
    • Your trading activities and their consequences
    • Any dispute between you and another User
    • Any dispute between you and an Exchange

    We reserve the right to assume exclusive defense of any claim subject to indemnification, in which case you agree to cooperate with our defense.

    15. TERMINATION AND ACCOUNT DELETION

    15.1 Termination by You

    You may terminate your account at any time by:

    1. Emailing compliance@obscura.finance with “ACCOUNT DELETION REQUEST” in the subject line
    2. Including your username and registered email
    3. Following any verification steps we request

    15.2 Termination by Us

    We may suspend or terminate your account immediately without notice if:

    • You violate these Terms
    • Your conduct poses a security or legal risk
    • You engage in prohibited activities
    • Required by law or regulation
    • You fail to pay fees when due

    15.3 Effect of Termination

    Upon termination:

    • Your access to the Platform ceases immediately
    • API key connections are disabled
    • Unused fees are forfeited (no refunds)
    • You remain liable for obligations incurred before termination
    • Sections 9–17 survive termination

    15.4 Data Retention and Deletion

    As detailed in our Privacy Policy:

    • Account deletion: Within 1 month of verified request
    • Personal data deletion: Within 1 year of request
    • On-chain data: Permanent (cannot be deleted)
    • Anonymized data: May be retained indefinitely

    16. DISPUTE RESOLUTION AND ARBITRATION

    16.1 Informal Resolution

    Before formal proceedings, you agree to contact compliance@obscura.finance to attempt informal resolution of any dispute. We will respond within 30 days.

    16.2 Binding Arbitration

    If informal resolution fails, any dispute shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in [City, State], unless otherwise agreed.

    16.3 Class Action Waiver

    YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

    16.4 Exceptions

    The following claims are exempt from arbitration:

    • Small claims court actions within jurisdiction
    • Claims of intellectual property infringement
    • Claims where injunctive relief is sought

    16.5 Opt-Out

    You may opt out of arbitration by sending written notice to compliance@obscura.finance within 30 days of accepting these Terms.

    17. GOVERNING LAW

    These Terms shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of laws principles.

    The United Nations Convention on Contracts for the International Sale of Goods does not apply.

    18. CHANGES TO THESE TERMS

    18.1 Right to Modify

    We reserve the right to modify these Terms at any time.

    18.2 Notice of Changes

    • Material changes will be notified via email or in-platform notice at least 30 days in advance
    • Non-material changes are effective immediately upon posting
    • The "Last Updated" date at the top reflects the most recent changes

    18.3 Continued Use

    Your continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Platform and delete your account.

    19. MISCELLANEOUS PROVISIONS

    19.1 Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Obscura regarding your use of the Platform.

    19.2 Severability

    If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

    19.3 Waiver

    Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

    19.4 Assignment

    You may not assign these Terms without our written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

    19.5 Force Majeure

    We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

    19.6 Electronic Communications

    By using the Platform, you consent to receive electronic communications from us (e.g., via email or in-platform notifications). You agree that these communications satisfy any legal requirement that communications be in writing.

    19.7 Relationship

    Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Obscura.

    19.8 Third-Party Beneficiaries

    There are no third-party beneficiaries to these Terms except as expressly stated.

    ACKNOWLEDGMENT

    BY USING OBSCURA, YOU ACKNOWLEDGE THAT:

    1. You have read, understood, and agree to be bound by these Terms
    2. You understand the risks associated with cryptocurrency trading and copy trading
    3. You are solely responsible for your trading decisions and outcomes
    4. You consent to the collection, use, and sharing of your information as described in our Privacy Policy
    5. You agree to resolve disputes through binding individual arbitration
    6. You have had the opportunity to seek independent legal advice

    APPENDIX A: JURISDICTION-SPECIFIC PROVISIONS

    A.1 European Union / United Kingdom

    If you are located in the EU/UK:

    • These Terms comply with applicable consumer protection laws
    • You have the right to withdraw from contracts within 14 days (subject to exceptions for digital services once performance begins)
    • Disputes may be referred to the European Online Dispute Resolution platform: ec.europa.eu/consumers/odr

    A.2 California

    If you are a California resident:

    • The provisions of the California Consumer Privacy Act (CCPA) apply as described in our Privacy Policy
    • You may designate an authorized agent to exercise your rights

    A.3 Other Jurisdictions

    If you are accessing Obscura from outside [Governing Law Jurisdiction], you are responsible for compliance with local laws. We make no representation that the Platform is appropriate or available in your jurisdiction.

    This Terms of Service is effective as of February 22, 2026.
